1. Introduction
Welcome to chatdivo. These Terms of Service ("Terms") govern your access to and use of the chatdivo platform, including our website, dashboard, APIs, AI agent services, and integrations such as WhatsApp Business messaging (collectively, the "Services"). By creating an account or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our Services.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms to use chatdivo. If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
3. Account & security
You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You agree to notify us immediately of any unauthorized access to your account. You are responsible for all activity under your account. chatdivo is not liable for any loss arising from unauthorized use of your credentials.
4. Use of service
chatdivo allows you to create and deploy AI-powered agents trained on your own content. These agents can respond to user messages via web widgets, dashboards, APIs, and third-party messaging platforms including WhatsApp. You are solely responsible for the content you upload, the data you connect, the accuracy of your knowledge base, and the responses your agents generate.
5. Ownership & content
You retain full ownership of all content you create, upload, or connect to chatdivo, including knowledge base content, training data, agent configurations, and conversation history. By using the Services, you grant chatdivo a limited, non-exclusive license to use your content solely to operate, maintain, and deliver the Services to you. We do not claim ownership of your content and will not use it for any purpose other than providing the Services.
6. WhatsApp Business integration
When you connect your WhatsApp Business account through chatdivo, the following additional terms apply:
- You must have a valid WhatsApp Business Account and comply with WhatsApp's Business Policy, Commerce Policy, and all applicable Meta policies.
- You are responsible for obtaining proper opt-in consent from your end users before sending messages via WhatsApp, in accordance with Meta's messaging policies and applicable local laws.
- You must not use the WhatsApp integration to send spam, unsolicited messages, or content that violates WhatsApp's policies, including illegal, threatening, defamatory, or discriminatory content.
- chatdivo acts as a technology provider facilitating your use of the WhatsApp Business Platform. You, not chatdivo, are the data controller for messages sent to your end users.
- Meta may suspend or restrict your WhatsApp access independently. chatdivo is not responsible for any actions taken by Meta regarding your WhatsApp Business Account.
- You may disconnect your WhatsApp integration at any time from the chatdivo dashboard.
7. AI-generated content
chatdivo uses artificial intelligence to generate responses based on your knowledge base. While we strive for accuracy, AI-generated content may sometimes be incorrect, incomplete, or outdated. You are solely responsible for reviewing and verifying the accuracy of AI-generated responses, especially for critical use cases. chatdivo does not guarantee the accuracy or completeness of any AI-generated content. You can switch to human-only response mode at any time.
8. Prohibited use
You agree not to use chatdivo for any of the following:
- Any illegal or unauthorized activity, including violating any applicable laws or regulations
- Sending spam, unsolicited messages, or bulk marketing without proper consent
- Uploading harmful, malicious, defamatory, harassing, or discriminatory content
- Impersonating any person, business, or entity
- Reverse engineering, decompiling, or attempting to extract the source code of the platform
- Interfering with, disrupting, or attempting to gain unauthorized access to our systems
- Using the service in any way that violates Meta's, WhatsApp's, or any third-party platform's policies
- Collecting or processing sensitive personal data (health, financial, biometric) without proper legal basis
We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited activities.
9. Billing & subscriptions
Some features require a paid subscription. Subscription plans, pricing, and usage limits are described on our pricing page. Payments are processed securely through Stripe. You agree to pay all applicable fees. Subscriptions renew automatically unless cancelled before the renewal date. Pricing may change with at least 30 days' notice. Refunds are handled on a case-by-case basis. WhatsApp messaging may incur additional costs based on Meta's conversation-based pricing.
10. Service availability
We strive to provide reliable and uninterrupted access to the Services. However, we do not guarantee 100% uptime. The Services may be temporarily unavailable due to maintenance, updates, or factors beyond our control (including third-party service outages such as Meta's WhatsApp Platform or AI provider APIs). We will make reasonable efforts to notify you of planned maintenance in advance.
11. Limitation of liability
To the maximum extent permitted by applicable law, chatdivo and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of the Services. Our total aggregate liability for any claims arising from or related to these Terms or the Services is limited to the amount you paid to chatdivo in the 12 months preceding the claim. The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.
12. Indemnification
You agree to indemnify, defend, and hold harmless chatdivo from any claims, damages, losses, costs, or expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights, including Meta's or WhatsApp's policies; or (d) any content you upload, transmit, or make available through the Services.
13. Termination
You may terminate your account at any time by contacting us or through the dashboard settings. We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, or if required by law. Upon termination, your right to use the Services ceases immediately. We will delete your data in accordance with our Privacy Policy data retention practices. Sections relating to ownership, limitation of liability, indemnification, and governing law survive termination.
14. Changes to these terms
We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the dashboard at least 14 days before they take effect. Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree with the updated Terms, you should stop using the Services and close your account.
15. Governing law & disputes
These Terms are governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction, as applicable in your region.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
